The Apple TV does seem to produce a lot of heat while in use. It gets the hottest when syncing as the hard drive is the most active.
To make sure your Apple TV doesn't overheat, don't place it on any other electronic device that also produces heat like the top of a TV or on top of a TIVO unit.
